Snapdeal Terminates Talks With Flipkart, Will Pursue an Independent Path

Snapdeal on Monday called off the $950 million-takeover (over Rs. 6,000 crores) by Flipkart, apparently over differences in valuation and terms of what could possibly have been the largest deal in the Indian e-commerce space.

Discussions to acquire the beleagured Snapdeal by Flipkart were initiated in March but contours of the deal could not reach a finality even after several rounds.

“Snapdeal has been exploring strategic options over the last several months. The company has now decided to pursue an independent path and is terminating all strategic discussions as a result,” a Snapdeal spokesperson said in a statement, without naming Flipkart.

The spokesperson added that the company will now pursue “Snapdeal 2.0” which is expected to help Snapdeal be “financially self-sustainable”.

Japanese conglomerate SoftBank, which holds close to 35 percent stake in Snapdeal and one that was driving the discussions, said it supports entrepreneurs and their vision.

“…we respect the decision to pursue an independent strategy. We look forward to the results of the Snapdeal 2.0 strategy, and to remaining invested in the vibrant Indian e-commerce space,” a SoftBank spokesperson said.

According to company sources, the talks ended on account of the complexity of the deal that came with multiple conditions, right from indemnity to a non-compete clause.

These did not find favour with the founders of the Gurugram-based online marketplace, they added.

The sources did not wish to be named as the discussions were private.

The deal was also contingent upon a nod from Snapdeal’s high-profile minority investors, including Ratan Tata and Azim Premji’s investment arm, PremjiInvest.

It wasn’t immediately clear if any of the minority shareholders had objected to the deal.

Once a leading player in the Indian e-commerce space, Snapdeal has seen its fortunes falling amid strong competition from rivals, Amazon and Flipkart.

Its valuation plunged from a peak of about $6.5 billion in February 2016 to about $1 billion during the latest round of discussions.

India’s nascent e-commerce sector is witnessing an intense battle for leadership between US-based Amazon and homegrown firm, Flipkart as more Indians turn to online shopping.

The players have been pumping in millions of dollars in building infrastructure, getting sellers online as well as promotions to bring more shoppers onboard.

The decision to continue independently also comes within days of Snapdeal agreeing to sell its digital payment platform, FreeCharge, to Axis Bank for Rs. 385 crores.

One of the sources said Snapdeal is now pivoting into a ‘Taobao’-like open marketplace setup and with money coming in from the sale of non-core assets like FreeCharge and Vulcan (when it gets completed), the company will have a run time of at a few years. Snapdeal has about 1,200 employees.

In an email to employees last week, Bahl had indicated that the company may decide to continue independently. Bahl had said the FreeCharge deal would give Snapdeal the “necessary boost in resources” to continue its e-commerce journey.

The discussions with Flipkart stretched over five months for a number of reasons. SoftBank worked overtime to get early investors, Kalaari and Nexus Venture Partners – who also have Board representation – to agree to the deal.

After their approval, Snapdeal Board turned down Flipkart’s $800-850 million (about Rs. 5,500 crores) offer, saying the amount undervalued the company.

While Flipkart revised the offer to $900-950 million, it came with a number of riders that did not find favour with the company.

There have been reports suggesting that SoftBank was looking at picking up stake in Flipkart through the Snapdeal transaction.

With the deal now off, reports say SoftBank may look at investing in Flipkart separately, though it could not be independently verified.

Greyhound Research chief analyst and CEO Sanchit Vir Gogia said Snapdeal 2.0 will need the company to have a different approach to survive and thrive.

“They will have to take a specialised approach to ensure they can continue. The market is now clearly open to a third player after Amazon and Flipkart, possibly to Paytm,” he said.

Gogia also noted that the development should also be a reminder to startups that “they should not take consumers and investors for granted”.

“Valuation alone doesn’t help keep a business alive,” he said.

Amazon, Flipkart Host Back to College Laptop Sales: Here Are the Top Offers

Amazon India and Flipkart are both hosting Back to College laptop sales on their respective sites. Both the e-commerce verticals are offering different deals, exchange offers, and No Cost EMI options on laptops from varied brands for students going back to college after the long summer vacation.

Amazon India has listed Intel-powered laptops from Lenovo, HP, Dell, and more with exchange offers and No Cost EMI options. The e-commerce site has also segregated laptops into curriculum sections like – Humanities and Commerce, Engineering, Medical Studies, MBA, Design and Architecture, and even Gaming.

With respect to price, the cheapest laptop listed in the sale is the Lenovo Ideapad 15.6-inch laptop available in Black, and priced at Rs. 18,990. Amazon is offering up to Rs. 10,000 off on exchange with an old laptop, and the option to get additional two-year warranty worth Rs. 4,990 for Rs. 1,499.

Flipkart, on the other hand, is hosting its Back to College Sale from Tuesday, July 18 to Thursday, July 20. The e-commerce site is offering the HP Imprint Core i3 6th Gen Windows 10 Home running laptop for Rs. 35,964. There’s an exchange offer of up to Rs. 7,000 listed, along with a No Cost EMI option that begins from as low as Rs. 999 per month from banks like ICICI and Citibank for a period of 36 months.

Flipkart has segregated its sections based on price, and budget laptops start from as low as Rs. 9,999. This includes Acer, iBall, and Lava laptops, some of which also offer No Cost EMI options. The Microsoft Surface Pro 4 laptop is also listed with a price cut, up to Rs. 15,000 off on exchange, and No Cost EMI options. Flipkart Said to Revise Snapdeal Buyout Offer to Up to $950 Million

E-commerce player Flipkart has sweetened its buyout offer for smaller rival Snapdeal to between $900 million (roughly Rs. 5,791 crores) and $950 million (roughly Rs. 6,113 crores), two people familiar with the negotiations said, adding that the new proposal is being evaluated by Snapdeal’s board.

Reuters previously reported that Snapdeal had earlier this month rejected Flipkart’s initial bid of between $800 million (roughly Rs. 5,148 crores) and $850 million (roughly Rs. 5,469 crores) as its board was unsatisfied with the offer and the payment terms.

Flipkart’s revised offer was made for Snapdeal’s marketplace and its e-commerce solutions provider Unicommerce but does not include its logistics arm Vulcan Express and digital payments unit FreeCharge, which may be sold separately, said the sources, who did not want to be named as the discussions are not public.

One of the sources said Flipkart may hold back about $150 million of the deal price for 12-24 months after the consummation of a deal.

Infibeam, a listed e-commerce player, has also made an offer for Snapdeal, the sources said, adding that the Snapdeal board is likely to consider the proposal. Details of the Infibeam offer were not immediately available.

Flipkart, Snapdeal and its main backers were not immediately reachable for comment. Infibeam was not immediately available for comment, but has said media reports linking it with Snapdeal are speculative.

Japan’s SoftBank Group, Snapdeal’s biggest shareholder, is keen to fold the firm into Flipkart and back the biggest home-grown e-commerce provider as it battles Amazon.com for a bigger share of India’s booming online retail market.

But Snapdeal’s founders would also like the Infibeam proposal to be evaluated before any final decision, one of the sources said. Snapdeal is expected to make a decision on the two offers in a week or 10 days, the second source said.

Axis Bank, India’s third-biggest private sector lender, top digital payments firm Paytm and a few others are in talks to acquire FreeCharge, one of the sources said.

Axis Bank did not respond to requests for comment while Paytm was not immediately available for comment.

Flipkart Overcharged Its Sellers for a Week

Indian e-commerce Flipkart ran into a glitch last month that supposedly affected most of its partnered sellers. The company says it has since rectified the mistake.

The revelation of what Flipkart calls a “one-off” error came after online seller group All India Online Vendors Association (AIOVA) issued a notice to all its members this week. In the notice, AIOVA said that Flipkart overcharged its sellers for incorrect weighing during the period between June 20 to June 28 last month.

The problem occurred at one of the stages during the shipping process. When a customer places an order for an item, Flipkart informs the seller, who is responsible for packaging and handing over the articles to Flipkart’s courier partner. The courier partner calculates the actual weight and volumetric weight of the article, and charges the seller accordingly.

In this instance, thanks to what Flipkart calls an error in the system, sellers were charged higher amounts than usual.

“As a result of this, packets of 500 grams are being incorrect recorded in higher slabs like 15kg, 35kg etc at random instances,” the group wrote in the letter, adding, the “technical fault” resulted in “higher charge of forward shipping and reverse shipping.”

The additional charge was in the scale of “20-30 percentage of the gross merchandise value of the product,” a spokesperson of AIOVA told Gadgets 360.

The spokesperson added that “100 percent sellers were impacted,” adding that the notice was issued to make sellers aware of the matter. Most sellers weren’t aware of overcharging, the person said.

In a statement to Gadgets 360, Flipkart acknowledged the fault, and said a recent system upgrade was at the fault. “A recent system upgrade had inadvertently caused a one-off error in the way we calculate shipping costs for sellers,” the spokesperson said.

The company said it “promptly corrected the issue upon discovery” and informed the sellers, but did not elaborate. The refund procedure has already been completed, it said.

Even as Flipkart calls it a “one-off” error, the AIOVA representative said that several such incidents have occurred in the past. The problem, the person said, is that there is no authority in place to keep a track on Flipkart’s activities. “They get away with it all the time,” the person added.

Flipkart Big 10 Sale: E-Commerce Titan Expects Five-Fold Increase in Transactions

During the Flipkart Big 10 Sale, the e-commerce major expects to see a five-fold growth in transactions on its platform during. The upcoming Flipkart sale, which is different from the flagship The Big Billion Days sale, will be held between May 14 and 18, and marks completion of 10 years of Flipkart’s operations.

Flipkart Director Smrithi Ravichandran told PTI, “We have been preparing for months for this sale. It is a big event for us. During the sale, we expect about 5X of the usual number of transactions we see on our platform on any given day.”

She added that the company has also expanded its back-end operations for logistics and last-mile delivery to ensure smooth operations during the sale days. Flipkart doesn’t disclose number of transactions on its platform.

The Flipkart sale will see offers on products across categories like fashion, smartphones, electronics, smart televisions and home decor.

“We have expanded warehousing capacity. We have also added mom and pop stores as partners to ensure smooth last mile delivery,” she said.
Interestingly, Flipkart’s sale comes just after US-based rival Amazon’s sale, something Ravichandran said was just coincidence. The Amazon sale started on May 11 and will last till May 14.

Both companies are aggressively investing into the Indian market, expanding their infrastructure and platform to bring more sellers and shoppers on board.

In April, Flipkart received a funding of $1.4 billion from eBay, Microsoft, and Tencent, while Amazon has also pledged investments worth $5 billion into the Indian market.

According to a Google-AT Kearney report, the number of online shoppers in India is estimated to grow 3.5 times to touch 175 million by 2020, from 50 million in 2015.

Also, e-tailing is expected to drive 25 percent of the total organised retail sales of $240 billion in India by 2020, as per the report.

Flipkart Says Delhi-NCR Had Highest Number of Online Shoppers in 2016

E-commerce major Flipkart on Sunday said it saw the highest number of shoppers on its platform coming from the National Capital Region this year.

“The National Capital has again raced ahead of all with most number of shoppers taking to e-commerce, closely followed by Bengaluru. Mumbai, Chennai and Hyderabad are the other metro cities that made the cut,” Flipkart, in its #FlipTrends2016 report, said.

Vellore, Tirupati, Bellari, Jorhat and Kottayam were the top five cities among tier III towns of the country for Flipkart, it added.

Interestingly, men accounted for a larger chunk (60 percent) of online shoppers in 2016, shopping more of electronics, personal audio, footwear and lifestyle product, according to Flipkart.

The most selling categories in 2016 on Flipkart were electronic accessories, mobiles, women clothing, men footwear and consumer electronics across all regions, it added.

Over 50 percent of transactions for categories like premium phones, consumer electronics and appliances, were made using Flipkart’s no cost EMI and product exchange options, the report said.
Flipkart, which competes with the likes of Amazon and Snapdeal, saw about 80 percent of its traffic coming from mobile handsets.

Some interesting products sold during 2016 include energy saving bulbs, wall stickers, selfie stick, printer ink, slimming belt, condoms, protein supplement, massager, blood pressure monitor, hookah and hookah flavours.

Flipkart Delivery Man Allegedly Murdered by Customer to Get Mobile Without Paying

A delivery man working with e-commerce major Flipkart was allegedly murdered by a gym instructor here to get hold of the mobile phone he had ordered, as he did not have money to pay in return, police said Thursday.

The incident that happened on December 9 came to light only on December 11 when 28-year-old Nanjundaswamy’s body was found at a building housing the gym in Vijayanagar Police station limits.

The gym instructor Varun Kumar K (22) has been arrested for murder and destruction of evidence, police said. They said Kumar had placed an order for a mobile phone on Flipkart on December 8 and the delivery man had come to deliver the mobile phone to the gym on December 9 afternoon.

From the investigation it is clear that Kumar killed him with a knife with an intention to get hold of the phone and the money Nanjundaswamy had, officials added.

Police have recovered Rs. 10,000 from Kumar which he had stolen from the delivery man along with the mobile phone and another phone that had to be delivered to another customer.

His police custody has been obtained for further investigation, officials said.

Demonetisation: Flipkart, Snapdeal Lift Cash on Delivery Restrictions

Soon after the announcement of demonetisation of Rs. 500 and Rs. 1,000 notes, e-commerce giants like Amazon, Snapdeal, and Flipkart disabled or limited cash on delivery on purchases due to severe cash deficit. A few days later, Amazon India reintroduced cash on delivery, and now even Flipkart and Snapdeal have resumed full support.

Both the Indian ec-ommerce giants have announced that cash on delivery is now fully operational for purchases site-wide. As a result of demonetisation, the e-commerce giants had introduced various alternate payment options like wallet on delivery, deferred payments to a later date, and even had card on delivery option enabled across the country.

Snapdeal had limited cash on delivery, and was offering for purchases beyond Rs. 2,000 only, below which digital payment was made mandatory. It also served a warning that no Rs. 500 and Rs. 1,000 notes will be accepted during delivery. Now, the above-mentioned cash limit has been removed, and a Snapdeal spokesperson in an emailed statement said, “We support the demonetisation effort by the government, and are committed to making this transition as frictionless and convenient as possible for our consumers. We worked closely with our users throughout the last week to ensure there was no lapse in their experience, and they have responded by swiftly adopting alternative payment modes, especially the Wallet on Delivery option. We will continue to monitor the situation closely, and do as required to ensure it is business as usual on our platform.”

Flipkart had also limited its cash on delivery purchase, and had ramped up card on delivery even in remote areas, to ease cash crunch. The e-commerce giant is also now accepting cash on delivery up to any limit. In an emailed statement, the company’s spokesperson said, “Flipkart has resumed cash on delivery fully up to any amount. As the government announced demonetization, Flipkart proactively reached out to its customers whose orders were in flight to educate them and offer additional time to procure cash. Flipkart took the initiative to provide every possible facility for a smooth and seamless order processing. We significantly ramped up our card on delivery facility and covered majority of pin-codes, also reaching remote towns. The government’s decision has given a big push to adoption of digital instruments like wallets and UPI. In the last few days, we witnessed a lot of movement towards electronic transactions and we expect the economy to further support this change. To encourage customers to adopt other payment modes, we also introduced wallet cashbacks, which are being actively used by multiple sellers and brands.”

As part of the Flipkart Big Billion Day sale, there are many offers up for grabs, but the most notable ones include discounts on the Asus ZenFone 2, LeEco Le 2, LeEco Le 1s Eco, and Moto X Play. There’s a huge Rs. 10,000 discount on the Asus Zenfone 2, and the smarphone can be purchased for just Rs. 9,999 in the five-day sale period. The LeEco Le 2 will be sold for Rs. 10,499 instead of its original price of Rs. 11,999, and the LeEco Le 1s Eco gets a Rs. 2,000 discount and will be sold for Rs. 7,999.

Flipkart is also making its exchange offer applicable on the latter two smartphones, making it possible to avail an additional discount of up to Rs. 8,000 and Rs. 6,500 price cut respectively. There might be a purchase limit cap for this instant discount to apply, but there’s no clarity on that yet. Wal-Mart Said to Be in Talks to Invest Up to $1 Billion in Flipkart

Wal-Mart Stores Inc. is in advanced discussions to invest as much as $1 billion into India’s Flipkart Online Services Pvt, as the two companies battle Amazon in e-commerce, according to a person familiar with the matter.

Wal-Mart, the world’s largest retailer, would take a minority stake in Flipkart under the proposed agreement, the person said, asking not to be identified because the matter is private. Final terms of the deal have not been worked out and negotiations are still underway, the person said. Flipkart’s most recent valuation was about $16 billion (roughly Rs. 1,06,356 crores), according to research firm CB Insights.

Flipkart is the largest online retailer in India, but its lead has been under assault as Amazon steps up investments in the country. Chief Executive Officer Jeff Bezos said in June he plans to spend another $3 billion in India to gain customers in the fast-growing market. A deal with Wal-Mart would give Flipkart additional capital to fight back and more expertise in battling the e-commerce pioneer. “If the deal goes through, the competitive intensity between Flipkart and Amazon will shoot up,” said Gautam Chhaochharia, the Mumbai-based head of India research at UBS AG.

The deal has potential benefits for Wal-Mart too. Beyond any eventual financial return on its investment, Wal-Mart would gain exposure to India’s expanding e-commerce market and have the opportunity to challenge Amazon on more equal footing than the US.

A spokeswoman for Wal-Mart said she could not immediately provide comment. A Flipkart spokesman said, “It is our policy not to comment on rumors or speculations.”

India is the next big potential retail prize after the US and China, where foreign players have made little progress against Alibaba Group Holding Ltd. India’s online market will expand at an average of 45 percent annually in the next four years and reach $28 billion by 2020, according to estimates from Kotak Institutional Equities.

Bentonville, Arkansas-based Wal-Mart had earlier established a retail joint venture in India with Bharti Group, which runs the country’s largest telecommunications operator Bharti Airtel. But the business failed to take off and Wal-Mart eventually sold its stake to its partner. If a Flipkart deal materializes, Wal-Mart would be able to support its new ally with money and its decades of retail experience.

“With its main competitor Amazon getting very aggressive, Flipkart needs a solid partner to bolster its operations with not just capital but also branding, logistics, sourcing and other retail experience, they won’t be able to pull it off with small partners,” said Devangshu Dutta, chief executive officer of the Gurgaon-based retail consultancy Third Eyesight.

Amazon has been gaining group with major investments in infrastructure and partnership. The company has committed a total of $5 billion to the India market, including the latest pledge from Bezos. “They know how to work against competitor Wal-Mart, they will know what to expect,” Chhaochharia said.

Wal-Mart has been renewing its efforts to battle Amazon online. In August, Wal-Mart agreed to buyJet.com Inc. for about $3.3 billion and put founder Marc Lore in charge of the combined company’s online operations.

A Wal-Mart-Flipkart tie up may prompt moves from other competitors in the India market. Alibaba has been funding Snapdeal.com, the third-largest competitor in Indian e-commerce, and has long considered the country a prime expansion opportunity as it seeks to generate half its revenue from outside China. But if Amazon and Wal-Mart both stepping up their investments, Alibaba may have to consider doing the same, either with Snapdeal or on its own.

In Alibaba’s most recent post-earnings conference call, Vice Chairman Joseph Tsai told analysts that India was a prized market where his company has investment in Snapdeal as well as an online payments service and mobile browser. “We’re very well strategically positioned in these emerging markets, and that’s the start of our international activity,” he said at the time.
